Welcome to Vyper Terminal, Inc. (“Vyper,” “we,” “us,” or “our”). These Terms of Service (the “Terms”) govern your access to and use of our website, applications, and related services located at https://vyper.trade (collectively, the “Service”). By accessing or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

Acceptance of Terms and Privacy Policy

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. Your acceptance includes consent to the collection, use, and sharing of your personal data in accordance with the Privacy Policy. You also agree to comply with all applicable laws, regulations, and rules when using the Service. Additionally, by agreeing to these Terms, you affirm that you are at least 13 years old or the legal age of majority in your jurisdiction and possess the legal authority to enter into these Terms. If you are accessing the Service on behalf of an organization, you represent and warrant that you are authorized to accept these Terms on behalf of that organization.

Eligibility

• You are not prohibited from using blockchain-based platforms or digital asset services under applicable laws.

• You have not been previously suspended or removed from the Service.

• You do not reside in or are not accessing the Service from a jurisdiction where the use of the Service or blockchain technology is prohibited.

You affirm that your use of the Service does not violate any applicable laws or regulations. Vyper reserves the right to suspend or terminate your access to the Service if we believe you do not meet the eligibility requirements.

Account Registration and Security

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy. You are responsible for safeguarding your account credentials and for all activities conducted under your account. You must notify us immediately at [email protected] if you become aware of unauthorized access or use of your account. Vyper is not liable for any losses caused by unauthorized access to your account due to your failure to secure your credentials. We reserve the right to suspend or terminate your account at our discretion, including for violations of these Terms.

Service Description

The Service provides tools and software for interacting with blockchain networks, managing digital assets, and facilitating blockchain-based transactions. The Service may include features for analyzing blockchain data, executing transactions, and other related functionalities.

Vyper does not act as a custodian of funds, digital assets, or private keys. All transactions facilitated through the Service occur directly on public blockchain networks and are immutable. Vyper does not control or influence the behavior of blockchain networks and assumes no responsibility for any issues arising from network performance or availability.

Responsibility for Digital Assets and Keys and Their Security

Your digital assets, private keys, and recovery phrases are solely your responsibility. Vyper does not store, manage, or recover private keys or other credentials. Losing access to your private keys or recovery phrases may result in the permanent loss of your digital assets.

It is your responsibility to securely store and back up your private keys and recovery phrases. You acknowledge the inherent risks associated with blockchain technology, including vulnerabilities to hacking, unauthorized access, and technical failures. Vyper is not liable for any losses resulting from such events. By using the Service, you agree to take all necessary precautions to ensure the safety and security of your digital assets and credentials

Fees and Taxes

Your use of the Service may incur fees, including blockchain network fees (“gas fees”) required to process transactions and additional platform fees for certain features. These fees are clearly disclosed before a transaction is processed and are non-refundable unless explicitly stated otherwise.

You are responsible for determining and paying any taxes associated with your use of the Service or your acquisition, holding, or transfer of digital assets. Vyper does not provide tax advice, and you are encouraged to consult with a qualified tax professional to understand your obligations.

Intellectual Property

All intellectual property related to the Service, including but not limited to trademarks, trade names, logos, designs, software, text, graphics, and other proprietary content, is owned by Vyper or its licensors. The Service is protected by intellectual property laws, and Vyper retains all rights not expressly granted to you.

You are granted a limited, non-exclusive, revocable license to use the Service for personal purposes in compliance with these Terms. You may not reproduce, distribute, modify, or reverse engineer any part of the Service without prior written consent from Vyper

Affiliates and Referrals

Vyper may offer referral and affiliate programs that reward users for introducing new participants to the Service. Participation in such programs is subject to the following conditions: Rewards are based on the activity of referred users and are determined at Vyper’s discretion. Misrepresentation, spamming, or other unauthorized promotional methods are strictly prohibited. Vyper reserves the right to modify, suspend, or terminate referral and affiliate programs at any time without notice.

Participation in these programs does not establish any form of partnership, joint venture, or employment relationship between you and Vyper.

Prohibited Activities

You agree not to engage in any activities that: Violate applicable laws, regulations, or these Terms. Involve money laundering, fraud, or other illegal activities. Interfere with the operation, security, or integrity of the Service. Circumvent any restrictions, protections, or mechanisms implemented by Vyper.

Engaging in prohibited activities may result in account suspension, termination, or legal action.

Blockchain Transactions and Risks

Blockchain transactions are inherently risky, irreversible, and publicly recorded. You acknowledge that: Digital asset markets are volatile and may result in significant financial loss. Transactions facilitated by the Service are final and cannot be modified, canceled, or reversed. Vyper is not liable for errors, network failures, or losses arising from blockchain transactions.

You are solely responsible for assessing and managing the risks associated with blockchain technology and digital asset transactions.

Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Vyper disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Vyper’s liability for any claims arising from your use of the Service is limited to $100 or the amount you have paid to Vyper in the past 12 months, whichever is greater. Vyper is not liable for indirect, incidental, consequential, or punitive damages, including those arising from blockchain transactions or third-party services.

Arbitration and Dispute Resolution

These Terms are governed by the laws of the United States. Any disputes arising under these Terms will be resolved through binding arbitration conducted by a recognized arbitration organization. You waive your right to participate in class actions and agree to resolve disputes on an individual basis. Arbitration will be conducted confidentially, and the arbitrator’s decision will be final and binding.

Modification and Termination

Vyper reserves the right to modify these Terms or the Service at any time. Changes will be posted on the Service, and continued use after changes constitutes acceptance. We may terminate or suspend your access to the Service for any reason, including violation of these Terms, without prior notice.
